Terms and conditions

Last updated: 28 October 2026. This is a translation; if there is any difference, the Dutch version prevails.

1. Applicability

These terms apply to all quotes, assignments and services of Klik&Shop AI Solutions, a trade name of Klik&Shop (sole proprietorship), Paramaribohof 55, 2315 VW Leiden, the Netherlands, KvK 98148362, VAT NL005310837B66, e-mail info@klikshop.tech ("we"). Deviations only apply if agreed in writing. The client's general terms do not apply.

2. Quotes and formation

Quotes are without obligation and valid for 30 days unless stated otherwise. An assignment is formed as soon as the client accepts the quote in writing or by e-mail. The free initial analysis is without obligation and includes no building or installation work.

3. Performance

We perform the assignment to the best of our knowledge and ability. This is an obligation of effort, not of result. The scope of the assignment is set out in the quote. Work outside that scope is only done after the client approves a price estimate in advance. Stated timeframes are indicative.

4. Accounts, access and ownership

Automations are set up in the client's accounts. The client remains the owner of these accounts, files and data. We never ask for passwords. Any temporary access for us is revoked at delivery, unless maintenance has been agreed.

5. Client cooperation

The client provides correct and complete information and the necessary accounts in good time, performs the installation steps that must be done in their own account, and tests the delivered automation. Delays caused by a lack of these are at the client's expense.

6. Output and review

The assistant only creates drafts and overviews and sends nothing by itself. Automatic classifications and drafts may be incorrect or incomplete. The client remains responsible for reviewing every draft before it is used or sent, and for the decisions they make. An AI module is only used after a written decision by the client.

7. Third-party costs

Costs of external services, such as a Google Workspace subscription or, later, a paid AI service, are borne by the client and are listed in the quote in advance.

8. Prices and payment

Prices are set per assignment in the quote and exclude VAT unless stated otherwise. Invoices are payable within 14 days of the invoice date. In case of late payment, after a reminder the client owes the statutory (commercial) interest and reasonable collection costs.

9. Delivery and correction round

At delivery the client receives a walkthrough, documentation and a description of the manual fallback route. Within 14 days after delivery the client may have one correction round carried out within the agreed scope.

10. Maintenance

Maintenance is only provided if agreed. It consists of a monthly check, a review of the error log with a short report, and up to 30 minutes of small changes per month. Unused minutes expire. There is no 24/7 or unlimited support. We are not responsible for faults caused by changes or outages at third-party services (such as Google), but help with recovery within the agreement.

11. Intellectual property

After full payment the client receives an unlimited right to use the automation set up for them, including the right to modify it. We retain the rights to general knowledge, methods, templates and reusable components.

12. Confidentiality and privacy

Both parties keep confidential information secret. If we process personal data on behalf of the client, this is set out in a data processing agreement. See also our privacy statement.

13. Liability

Our liability is limited to direct damage and to at most the amount invoiced for the assignment in the last three months. We are not liable for indirect damage, such as consequential loss, lost profit or loss of data, nor for damage caused by drafts the client did not review. This limitation does not apply in case of intent or deliberate recklessness.

14. Force majeure

In case of force majeure, including outages at third-party services, internet or hosting, we may suspend performance without being liable for damages.

15. Term and termination

Maintenance can be cancelled monthly with one month's notice unless agreed otherwise. Either party may terminate the agreement if the other seriously fails to perform and does not remedy this after a written notice of default.

16. Governing law

Dutch law applies to these terms and all agreements. Disputes are submitted to the competent court in the district of The Hague, unless the law provides otherwise.
